VANCOUVER, British Columbia – Madoro Metals Corp. (“Madoro” or the “Company”) announces that, further to its news release dated May 9, 2024, the Company has closed a non-brokered private placement of 15,250,000 units in the capital of the Company (each, a “Unit”) at a price of $0.02 per Unit for aggregate gross proceeds of $305,000 (the “Offering”).

Each Unit purchased includes one common share and one-half of one transferable common share purchase warrant.  Each whole warrant entitles the holder to purchase one additional common share for a period of two (2) years at a price of $0.05 per common share.

The Company intends to use the proceeds raised from the Offering towards exploration expenditures on its existing properties, satisfying its obligations under current property options agreements, as well as working capital purposes.  The Company will pay monthly consulting fees to the Company’s CFO and Corporate Secretary of an aggregate $7,500.  No proceeds will be paid to persons conducting investor relations activities or any other party in excess of 10% or more of the proceeds.

All securities issued in connection with the Offering will be subject to a statutory hold period of four months plus one day expiring on September 15, 2024, in accordance with Exchange policies and applicable securities legislation. 

The securities issued pursuant to the Offering have not, nor will they be registered under the United States Securities Act of 1933, as amended, and may not be offered or sold within the United States or to, or for the account or benefit of, U.S. persons in the absence of U.S. registration or an applicable exemption from the U.S. registration requirements.
